But how could investors have figured out that something was brewing at Micromuse beforehand? By taking a quick skim of the K the company filed on Dec. 14. Even without reading the whole thing, a quick search for the words “change in control” would have revealed that they appeared 26 times in the current K, as compared with the seven times they appeared in the K filed in December 2004.

The same is true for Maxtor, which just got bought by Seagate.
